NOTICE TO BIDDERS

 

The Board of Education of the East Ramapo Central School District (hereafter “School District”), 105 South Madison Avenue, Spring Valley, New York, Rockland County, 10977 hereby invites the submission of sealed bids on the sale of an unimproved parcel of approximately 20.68 acres adjacent to the Lime Kiln Elementary School.

 

Sealed bids will be received not later than 3:30 p.m. on August 15, 2006.  The sealed bids shall be mailed or delivered to the District Clerk’s  Office at the East Ramapo Central School District, 105 South Madison Avenue, Spring Valley, New York 10977.  No bid will be considered unless received and on hand at the office of the District Clerk by the time and date specified above.  Bids in route by mail or other means, but not received and in hand, will not be considered.  They will be returned unopened as untimely.  Faxed or electronically submitted bids will not be accepted.

 

Bids will be opened in public at 10:00 a.m. on August 16, 2006 at the East Ramapo Central School District Administration Building, 105 South Madison Avenue, Spring Valley, New York.

 

Specifications and bid form may be obtained at the District Clerk’s Office, or from the School District’s website.

 

TERMS AND CONDITIONS OF BID SUBMISSION

 

NOTE:  Any bid that is submitted which does not satisfy all of the

            following conditions will not be considered and will be returned

            as invalid.

 

  1. The parcel is located at 15 Terrace Road, Village of Wesley Hills, Town of Ramapo, Rockland County, New York, with a Tax Map designation of Section 32.19, Block number 2, Lot number 4.  The street location is provided for convenience to prospective purchasers; however, no representation is made as to actual road frontage.

  2. The minimum acceptable bid is $6.5 million.

  3. Bid should detail with specificity the purpose for which the land will be used,  e.g. one-family home. 

  4. The parcel will be sold subject to Education Law Section 1804 (6) as well as any other applicable laws and the Regulations of the Commissioner of Education.

  5. All sales are subject to ratification by resolution of the Board of Education of the East Ramapo Central School District.

  6. The sale shall be open to any and all persons except employees of the East Ramapo Central School District and members of the Board of Education and their families.

  7. Sealed bids will be received not later than 3:30 p.m. on August 15, 2006.   8. The bids shall be opened in public at 10:00 a.m. on August 16, 2006, under the supervision of the attorney for the Board of  Education and the District Clerk.  No bids will be accepted which are less than the minimum bid price as set forth herein.

  9. The parcel will be sold subject to:

    i. any state of facts which an accurate survey or a personal inspection of premises might disclose;

    ii. covenants, restrictions and limitations, if any affecting the premises; 

    iii. any and all rules, regulations, ordinances   or local laws enacted by political subdivisions which are applicable  to real property;

    iv. rights of tenants and persons in possession, if any.

  10. This land is being sold “As Is” and is subject to all requirements of the Village of Wesley Hills.

  11. The purchaser must execute a contract of sale within thirty (30) days of being advised by the Board of Education that his/her bid proposal has been accepted.  Failure by the purchaser to execute the contract of sale as herein provided will result in purchaser forfeiting his/her bid deposit.

  12. The purchaser will close title no later than ninety (90) days from the date of the contract of sale.  The closing shall take place at the office of the East Ramapo Central School District, 105 South Madison Avenue, Spring Valley, New York 10977.  At the time of closing of the title, the statutory Bargain and Sale Deed with Covenants Against Grantor’s Acts will be duly executed, acknowledged and delivered to the purchaser and the purchaser will pay the balance due in full under the terms of the contract of sale.  This payment shall be made by either a certified check or bank check drawn on a bank authorized to do business in the State of New York payable to the “East Ramapo Central School District”.

  13. The purchaser shall also be responsible for the payment of all recording fees and transfer taxes due to the Rockland County Clerk.

  14. If the purchaser fails to abide by the terms of the sale and/or complete the purchase, purchaser shall forfeit the contract down payment and it shall be paid over to the East Ramapo Central School District as and for liquidated damages.

  15. A map of the parcel will be available for inspection in the District Clerk’s Office during the hours of 9:00 a.m. to 3:00 p.m., Monday through Friday.  No representations are made as to the accuracy of the information.

  16. In submitting a bid, the purchaser acknowledges that he or she has not relied upon any representations made by any East Ramapo Central School District employee, any members of the Board of Education, or any other person, and understands that no East Ramapo Central School District employee, or any member of the Board of Education is authorized to make representations regarding the parcel offered for sale by the School District.  The purchaser has thoroughly investigated the property bid on and is aware of his/her right to consult with a title company of his/her choice prior to submitting the bid.      

  17. The Board of Education makes no representations whatsoever relative to municipal violations that may exist.

  18. Real estate brokers are not protected.

  19. Bids may not be assigned without the express written approval of the Board of Education.

  20. A bid deposit representing 5% of the bid amount must accompany the offer. The deposit may be made by a certified check or bank check  payable to the East Ramapo Central School District. Any bids which do not contain the proper deposit either in amount or type of payment shall not be considered to be valid bids. Any bids submitted by parties who are ineligible to bid on this property shall not be considered to be valid bids.  Upon acceptance of the bid by the Board of Education, the deposit shall be non-refundable.

  21. The School District reserves the right to reject any and all bids whatsoever.

  22. The Board of Education reserves the right to withdraw the parcel from sale at any time.
